Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Growth Punch platform and services provided by Growth Punch, Inc. (“Growth Punch,” “we,” “us,” or “our”). By creating an account or using our services, you agree to be bound by these Terms.

1. Service Description

Growth Punch is an automated advertising and customer acquisition platform for local service businesses. Our services include:

• AI-generated advertising creative (text and images) for Google and Meta platforms
• Automated creation and management of conversion-optimized landing pages
• Deployment and optimization of advertising campaigns on Google Search, Google Local Services Ads (LSA), and Meta (Facebook/Instagram)
• AI-powered intake services including phone answering, SMS, web forms, and chat for lead qualification
• Automated job booking and appointment scheduling
• Payment collection facilitation
• Full-loop attribution and performance reporting

2. Eligibility

To use Growth Punch, you must:

• Be at least 18 years of age.
• Operate a legitimate local service business in compliance with all applicable laws and regulations.
• Have the authority to bind your business to these Terms.
• Provide accurate and complete business information during registration.

We reserve the right to refuse service to any business that, in our sole discretion, does not meet our eligibility requirements or whose services may violate advertising platform policies.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Notify us immediately of any unauthorized use of your account.
• Not share your account credentials with any third party.

4. Payment Terms

Platform Fee

The Growth Punch platform fee is $2,500 per month, billed monthly in advance. Early adopter pricing is locked in permanently at the rate agreed upon at the time of your enrollment.

Ad Spend

Your advertising budget is separate from the platform fee. You set your own ad budget, and all ad spend is paid directly to Google and Meta through your own advertising accounts. Growth Punch does not handle, hold, or process your ad dollars. You are responsible for maintaining adequate funds in your advertising accounts.

Billing

Platform fees are billed via the payment method on file. If a payment fails, we will attempt to process the payment again and notify you. Continued failure to pay may result in suspension or termination of your account.

5. Intellectual Property

Our Property

The Growth Punch platform, including all software, algorithms, AI models, designs, templates, and processes, is owned by Growth Punch, Inc. and protected by intellectual property laws. Your use of our services does not grant you any ownership rights in our platform.

Your Property

You retain ownership of all business data you provide to us, including your business information, customer data, and any content you supply for use in advertising campaigns.

Generated Content

Ad creative, landing page content, and other materials generated by our platform for your campaigns are licensed to you for use in connection with Growth Punch services. Upon termination, you may retain copies of generated ad creative for your own use.

6. Customer Responsibilities

You agree to:

• Provide accurate and current business information, including services offered, service areas, pricing, and business hours.
• Respond to leads and booked jobs in a timely and professional manner.
• Maintain the quality of services you provide to customers acquired through our platform.
• Comply with all applicable laws, regulations, and advertising platform policies.
• Not use our platform for any illegal, fraudulent, or deceptive business practices.
• Notify us promptly of any changes to your business that may affect your campaigns (e.g., service area changes, temporary closures, pricing changes).

7. Exclusivity Model

Growth Punch operates an exclusivity model: we limit the number of customers per business vertical per geographic zone. This means:

• Only one business per service type (e.g., plumber, roofer, family law firm) is accepted per geographic zone.
• Your exclusive slot is reserved for as long as your account remains active and in good standing.
• If you cancel your account, your slot becomes available to other businesses in your area.
• Geographic zones and slot availability are determined by Growth Punch in its sole discretion.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Growth Punch’s total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the three (3) months preceding the claim.
• Growth Punch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business, or data.
• Growth Punch shall not be liable for any actions taken by third-party platforms (Meta, Google) including but not limited to account suspensions, policy changes, or ad disapprovals.

9. No Guaranteed Results

While we optimize your advertising campaigns and lead acquisition processes to the best of our ability, we cannot and do not guarantee specific results, including but not limited to:

• A specific number of leads, calls, or booked jobs.
• A specific cost per lead, cost per acquisition, or return on ad spend.
• A specific volume of revenue generated from our services.

Advertising performance is influenced by numerous factors outside our control, including market conditions, competition, seasonality, and your own service quality and responsiveness.

10. Termination

Either party may terminate this agreement at any time with 30 days’ written notice.

• There are no early termination fees.
• Upon termination, we will cease all advertising and intake services on your behalf.
• You will be billed for services rendered through the end of your notice period.
• Your exclusive geographic slot will be released and made available to other businesses.
• Campaign data is retained for 90 days after termination to allow for reactivation. After 90 days, data is permanently deleted per our Privacy Policy.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or illegal activity, or if your business practices violate advertising platform policies.

11. Indemnification

You agree to indemnify and hold harmless Growth Punch, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your use of our services, or your business operations.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Sacramento County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email and by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
